These Terms of Use (“Terms”) apply to your use of Morse.Contact and the services we provide through morse.contact (“Morse”, the “Service”, “we”, “us” or “our”).

By creating a Morse widget, subscribing to the Service or otherwise using Morse, you agree to these Terms. If you are using Morse on behalf of a company or other organisation, you confirm that you have authority to accept these Terms on its behalf.

Morse is intended primarily for business and professional use.

Who we are

Morse provides website live chat that allows businesses to receive and respond to website conversations through Telegram.

The service

Morse provides a chat widget that you can add to your website. Messages sent by your website visitors can be forwarded to a Telegram group connected by you, allowing authorised members of that group to reply from Telegram.

Replies sent through the connected Telegram environment are then made available to the website visitor through the Morse chat widget.

The Service may also include tools for configuring your widget, managing websites, setting enquiry types and other related functionality that we make available from time to time.

Morse is designed to provide a simple communication layer between your website and Telegram. It is not a full helpdesk, CRM, emergency communication service or guaranteed message archive.

You are responsible for installing and configuring the Service correctly on your website and for making sure that your own systems, website and Telegram configuration are compatible with Morse.

Your account

To use Morse, you may need to provide information such as your email address, website domain and details required to connect your Telegram group.

You must provide accurate and current information and must not create or use a Morse account or widget on behalf of another person or organisation without permission.

You are responsible for maintaining control over your email account, Telegram account, Telegram groups and any credentials, links or permissions used to access or manage Morse.

You are also responsible for anyone who uses the Service through accounts, groups or websites under your control.

If you believe that access to your Morse setup has been compromised, contact us promptly at hello@morse.contact.

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

Trial, payment and billing

Morse may allow you to create, install and test a widget before payment is required. The functionality and duration of any free trial or testing period may change from time to time.

Current prices are displayed on our website or during the purchase process. Prices may vary depending on the number of websites, plan or other features selected.

Unless stated otherwise when you purchase, paid subscriptions are billed in advance for the applicable subscription period.

If recurring billing is enabled for your subscription, your subscription will renew automatically at the end of the current billing period unless you cancel it before renewal. The applicable price and renewal terms will be shown when you subscribe.

You authorise us and our payment provider to charge the payment method you provide for amounts that become due under your subscription.

Prices may be stated exclusive or inclusive of VAT or other applicable taxes depending on your location and the information shown during checkout. You are responsible for any taxes that legally apply to your purchase.

We may change our prices. A price change will not affect a subscription period that has already been paid for. Where it affects a future renewal, we will provide reasonable notice before the new price applies.

Cancellation and refunds

You may cancel your paid subscription at any time.

Cancellation stops future renewals but does not normally end access immediately. Unless we tell you otherwise, you can continue using the paid Service until the end of the period you have already paid for.

Payments already made are non-refundable and we do not provide partial or prorated refunds for unused time, except where required by applicable law or where we expressly agree otherwise.

If we terminate a paid Service for reasons unrelated to your breach of these Terms, we may provide a reasonable refund for any unused prepaid period where appropriate.

If you cancel or allow your subscription to expire, some functionality may stop working. You are responsible for exporting or retaining any information you need before your access ends.

Acceptable use

You may use Morse only for lawful purposes and in accordance with these Terms.

You must not use Morse to send, facilitate or distribute unlawful, fraudulent, threatening, abusive, defamatory or deliberately harmful material. You must not use the Service for spam, unsolicited bulk messaging, phishing, malware, impersonation or attempts to obtain information unlawfully.

You must not use Morse in a way that infringes another person's intellectual property, privacy, data protection or other legal rights.

You must not attempt to gain unauthorised access to Morse, interfere with the operation or security of the Service, bypass technical restrictions, probe or test our systems without permission, introduce malicious code or use the Service in a way that creates unreasonable technical load.

You may not copy, reverse engineer, resell, sublicense or commercially exploit the Service except where this is permitted by law or by a separate agreement with us.

We may suspend or restrict access where we reasonably believe use of Morse breaches these Terms, creates a security risk, harms other users or could expose Morse or third parties to legal liability.

Your content and conversations

You remain responsible for the information, messages, files and other content that you or your website visitors submit through Morse.

You retain any rights you have in that content. You give us only the rights reasonably necessary to process, transmit, store and otherwise handle that content in order to provide, secure and maintain the Service.

You are responsible for ensuring that your use of Morse complies with applicable privacy and data protection laws. This includes providing website visitors with any privacy information, notices or choices required by law.

You should not use Morse to collect or transmit information that is unnecessary for the purpose of the conversation. Unless Morse expressly supports a particular use case, you should not use the Service to transmit highly sensitive information such as passwords, payment card details, medical information or government identification documents.

Our handling of personal data is further described in our Privacy Notice. Where required, additional data processing terms may apply.

Morse is not intended to serve as your sole permanent record of customer conversations. You are responsible for keeping any records that your business is legally or operationally required to retain.

Telegram

Morse relies on Telegram to provide part of the Service.

Telegram is an independent third-party service. Morse.Contact is not Telegram, is not operated by Telegram and is not responsible for Telegram's products, systems, availability or terms.

To use the Telegram functionality of Morse, you must have access to a compatible Telegram account or group and comply with Telegram's own terms, policies and technical requirements.

Messages and other information routed through Telegram may be processed by Telegram in accordance with Telegram's own privacy practices and terms. You are responsible for deciding whether Telegram is appropriate for your organisation and for the type of information you intend to process.

Changes made by Telegram to its APIs, bots, platform rules, functionality or technical infrastructure may affect Morse. We will make reasonable efforts to maintain compatibility, but we cannot guarantee that third-party functionality will always remain available or unchanged.

We are not liable for outages, delays, data loss or other problems caused by Telegram or another third-party service outside our reasonable control.

Availability and changes to the service

We aim to keep Morse simple, reliable and available, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable because of maintenance, updates, technical problems, security incidents, third-party outages or circumstances outside our reasonable control.

We may add, change or remove functionality where reasonably necessary to improve the Service, maintain security, comply with legal requirements or respond to changes in third-party platforms such as Telegram.

We will try to avoid changes that materially reduce the core functionality of a paid subscription during a period you have already paid for. Where a material change cannot reasonably be avoided, we will try to provide reasonable notice.

We may also suspend all or part of the Service where necessary for security, maintenance, legal compliance or to prevent misuse.

Unless we expressly agree a separate service level agreement with you, no specific uptime or response-time guarantee applies.

Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded or limited.

To the fullest extent permitted by law, Morse is provided on an “as available” basis. We do not guarantee that the Service will always be uninterrupted, error-free or suitable for every particular business purpose.

We are not responsible for losses caused by circumstances outside our reasonable control, by your website or systems, by incorrect configuration, by Telegram or other third-party services, or by your failure to comply with these Terms.

To the fullest extent permitted by law, we will not be liable for indirect, incidental or consequential losses, or for loss of profits, revenue, business opportunities, goodwill, anticipated savings or data.

Our total liability arising out of or relating to the Service and these Terms will not exceed the total amount you paid to Morse for the Service during the 12 months immediately preceding the event giving rise to the claim.

The limitations in this section apply only to the extent permitted by applicable law.

Changes to these terms

We may update these Terms from time to time to reflect changes to Morse, our business, applicable law or the services and technology we rely on.

The latest version will always be published on morse.contact and will show the date on which it was last updated.

If we make a material change that significantly affects your rights or obligations, we will take reasonable steps to notify you, for example by email or through the Service.

Your continued use of Morse after updated Terms take effect means that the updated Terms will apply from that point onward.

Changes will not retroactively alter rights or obligations that arose before the updated Terms took effect unless required by law.

Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of [COUNTRY / JURISDICTION], without regard to conflict-of-law rules.
